End User License Agreement & Terms of Service

1. Acceptance of Terms
By accessing or using the Pro Home Builders Internal Operations Platform ("Platform"), you agree to be bound by these Terms of Service and all applicable laws and regulations. This Platform is an internal business tool operated exclusively by Pro Home Builders LLC ("Company," "we," "us," or "our") for use by authorized employees, contractors, and approved vendors. Unauthorized access is strictly prohibited.
2. Authorized Use
Access to the Platform is granted solely to individuals who have been issued credentials by Pro Home Builders LLC. Authorized users include full-time employees, part-time staff, project managers, subcontractors with vendor portal access, and approved third-party service providers. Users may not share credentials, transfer access rights, or use the Platform for any purpose other than legitimate business operations of Pro Home Builders LLC.
3. QuickBooks Online Integration
The Platform integrates with Intuit QuickBooks Online ("QBO") via the Intuit Developer API. By using this integration, you authorize the Platform to read and write financial data on your behalf within your QBO company file, including but not limited to: vendor records, bills, bill payments, expense transactions, chart of accounts, and class/project data. This authorization is governed by Intuit's Terms of Service and the OAuth 2.0 access tokens you provide. The Platform will only access QBO data necessary for the features described in this agreement and will not share your QBO data with any unauthorized third parties.
4. Data Ownership and Confidentiality
All financial data, vendor information, project records, expense transactions, and business documents processed through the Platform remain the exclusive property of Pro Home Builders LLC. Users acknowledge that this data is confidential and proprietary. Users may not export, copy, transmit, or disclose Platform data to any party outside of Pro Home Builders LLC without express written authorization from an authorized officer of the Company.
5. User Responsibilities
Users are responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account. Users must immediately notify Pro Home Builders LLC of any unauthorized use of their account or any other breach of security. Users agree to use the Platform only for lawful purposes and in compliance with all applicable federal, state, and local laws, including but not limited to Virginia construction regulations, tax laws, and data privacy statutes.
6. Acceptable Use Policy
Users may not: (a) attempt to gain unauthorized access to any portion of the Platform or its related systems; (b) introduce malicious code, viruses, or disruptive software; (c) use the Platform to process fraudulent transactions or misrepresent financial information; (d) reverse engineer, decompile, or disassemble any component of the Platform; or (e) use automated scripts to access the Platform without prior written consent.
7. Intellectual Property
The Platform, including its design, source code, workflows, and documentation, is proprietary to Pro Home Builders LLC. No portion of the Platform may be reproduced, distributed, or used to create derivative works without express written permission. Third-party integrations (including Intuit QuickBooks Online, Microsoft Azure, SendGrid, and Twilio) are governed by their respective terms of service and remain the intellectual property of their respective owners.
8. Disclaimer of Warranties
The Platform is provided "as is" for internal business use. Pro Home Builders LLC makes no warranties, express or implied, regarding the Platform's fitness for any particular purpose beyond its intended internal operations use. The Company does not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities, though reasonable efforts are made to maintain availability and security.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Pro Home Builders LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the Platform. The Company's total liability for any claim arising under these Terms shall not exceed the amount paid by the user (if any) for access to the Platform in the twelve months preceding the claim.
10. Termination
Pro Home Builders LLC reserves the right to terminate or suspend access to the Platform at any time, with or without cause, and with or without notice. Upon termination, all rights granted to the user under these Terms will immediately cease. Provisions relating to data ownership, confidentiality, intellectual property, and limitation of liability shall survive termination.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Virginia, and all parties consent to personal jurisdiction in such courts.
12. Changes to These Terms
Pro Home Builders LLC reserves the right to modify these Terms at any time. Users will be notified of material changes via the Platform or by email. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
